SkyraExec

SkyraExec Terms of Service

Effective date: October 1, 2026

1. Agreement and acceptance

These Terms of Service (the “Terms”) are an agreement between you and Inflection Point Studio, LLC (“Inflection Point Studio,” “we,” “us,” or “our”) governing your access to and use of SkyraExec (the “Service”). When you accept these Terms on behalf of an organization (“Customer”), you represent that you have authority to bind Customer. If you lack that authority, do not accept these Terms or use the Service. In these Terms, “you” and “your” refer to Customer.

You accept these Terms by selecting “I agree” when you first sign in and again whenever we require acceptance of updated Terms. Customer is responsible for the people it authorizes to use the Service (“Authorized Users”), including their compliance with these Terms, and for all activity under its accounts.

If you and we have signed another written agreement for the Service, that agreement controls over these Terms to the extent of any conflict.

2. Beta status

A beta designation means that the Service, or any feature of the Service, is a pre-release product made available for evaluation, testing, and feedback. Beta features may be incomplete, contain errors, change substantially, or be discontinued. We do not promise uptime or feature completeness. The Service is not intended to be the sole system of record. You should maintain your own independent records and backups of important content. We may limit the scope, number of users, storage, features, integrations, or other usage parameters of the beta, and may end the beta at any time on notice.

Participating in the beta does not obligate you to buy anything. If you purchase a plan, Section 12 applies.

3. Accounts, users, and security

You are responsible for providing accurate account information, keeping credentials secure, and removing Authorized Users who should no longer have access. Tell us promptly if you suspect unauthorized access.

We may suspend access where reasonably necessary to address security threats, misuse, suspected unlawful activity, or a material violation of these Terms.

4. Customer content and ownership

As between you and us, you own all content you or your Authorized Users submit to the Service, including strategy materials, goals, KPIs, action items, meeting notes, reviews, files, and similar business data (“Customer Content”). You are responsible for Customer Content and represent that you have the rights to submit it.

You grant us a limited, worldwide, non-exclusive, royalty-free right to host, store, process, transmit, and display Customer Content solely to provide, secure, support, and maintain the Service for you, and as described in our Privacy Policy.

5. Restricted data and compliance

Do not submit any of the following to the Service: (a) export-controlled technical data (for example, data subject to ITAR or EAR); (b) classified information or controlled unclassified information; (c) payment card numbers (other than to pay for the Service through our payment processor); (d) government identification numbers; (e) protected health information or other regulated health data; (f) information about children; or (g) any other data you are legally or contractually prohibited from storing with a hosted service, or that needs safeguards we have not agreed to in writing. If restricted data is submitted anyway, we may delete it, and you remain responsible for the consequences of submitting it.

6. Confidentiality (mutual)

Each party may receive non-public information from the other party that reasonably should be understood to be confidential (“Confidential Information”). Customer Confidential Information includes Customer Content, business plans, strategy, operating metrics, personnel information, review materials, and non-public information provided through the Service. Inflection Point Studio Confidential Information includes the Service, non-public product plans, product features, documentation, security information, pricing, and product-development information.

The receiving party will use Confidential Information only to perform under these Terms, protect it with at least reasonable care, and disclose it only to its employees, contractors, and service providers with a need to know who are bound by confidentiality obligations at least as protective as these. Confidential Information excludes information that is or becomes public without fault of the receiving party, was already known to it without restriction, was independently developed, or was rightfully received from a third party. A party may disclose Confidential Information when required by law or legal process, after giving reasonable notice where legally permitted. These obligations continue for three years after these Terms end, except for Customer Content and trade secrets, which remain protected for as long as they remain confidential.

7. Intellectual property and restrictions

As between you and us, we own all right, title, and interest in the Service, including its software, interfaces, workflows, documentation, designs, trademarks, and underlying technology. Subject to these Terms, we grant you and your Authorized Users a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes while these Terms are in effect. We may modify the Service from time to time.

You will not, and will not permit others to:

  • reverse engineer, decompile, or attempt to derive source code;
  • copy, modify, or create derivative works of the Service or its documentation;
  • sell, rent, lease, sublicense, or otherwise make the Service available to third parties;
  • use the Service to build a competing product, or publish benchmark or performance results about the Service without our written consent;
  • access data or workspaces you are not authorized to use, including other tenants, or circumvent access controls or usage limits;
  • probe, scan, or test the vulnerability of the Service, or interfere with or overload it, except with our prior written permission;
  • use automated means to access the Service, except interfaces we provide for that purpose;
  • upload malware or content you do not have the right to share;
  • use the Service unlawfully or to violate others’ rights; or
  • misrepresent your identity or affiliation.

8. Feedback

You may voluntarily provide suggestions, ideas, bug reports, evaluations, or other feedback about the Service (“Feedback”). Feedback is not Customer Content. You grant us a perpetual, irrevocable, worldwide, royalty-free right to use Feedback to operate, improve, develop, and commercialize our products and services, without obligation to you. This does not permit us to disclose your Confidential Information.

9. Privacy, data, and third-party tools

Our Privacy Policy describes how we collect, use, share, secure, retain, and delete information in connection with the Service, including the service providers we use. It is part of these Terms. For Customer Content, we act on your instructions as a service provider under these Terms and the Privacy Policy.

If you or your Authorized Users connect a third-party tool to the Service, the tool’s provider handles the Customer Content it receives under its own terms, and we are not responsible for how that provider handles it.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE, OR THAT DATA WILL NOT BE LOST OR CORRUPTED. YOU ARE RESPONSIBLE FOR BUSINESS DECISIONS MADE USING THE SERVICE.

11. Limitation of liability and indemnification

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EACH PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $1,000. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, YOUR BREACH OF SECTIONS 5, 6, OR 7, YOUR INDEMNIFICATION OBLIGATIONS, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.

You will defend and indemnify us against third-party claims, and the resulting damages and reasonable legal costs, arising from Customer Content or your breach of these Terms.

12. Orders, fees, and payment

If you purchase a plan, the plan, price, and billing period shown at the time of purchase are part of these Terms (an “Order”). Fees are charged to your payment method at the start of each billing period, and plans renew automatically until canceled. You may cancel at any time, effective at the end of the current billing period. Fees paid are non-refundable except as required by law or these Terms. Fees exclude taxes, which you are responsible for, other than taxes on our income. We may change prices on at least 30 days’ notice, effective at your next renewal. If payment fails, we may suspend access after notice until payment is made.

13. Term, termination, and changes to these Terms

These Terms begin on acceptance and continue until terminated.

Either party may terminate these Terms on 10 days’ written notice, and we may terminate immediately if you materially breach these Terms. If we terminate a paid plan without cause, or you terminate because you do not accept a material change to these Terms, we will refund prepaid fees for the remainder of the billing period.

On termination, your right to use the Service ends. For 30 days after termination, we will make Customer Content available to you on request, after which we may delete it as described in the Privacy Policy. Sections 6, 8, 10, 11, 15, and 16, and the restrictions in Section 7, survive termination.

We may update these Terms. For material changes, we will give at least 14 days’ notice by email to your administrators or in the Service, and may ask you to re-accept at your next sign-in. If you do not agree to a material change, you may terminate these Terms under this Section.

Non-material changes, such as typo fixes and clarifications, take effect when posted. We update the effective date above with each change.

14. Publicity

Neither party will issue a press release or use the other’s name or logo to promote itself without prior written consent. Either party may withdraw any consent it has given by written notice.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, excluding conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

Before filing a claim, the parties will try in good faith to resolve the dispute for 30 days. Either party may seek injunctive relief at any time. Otherwise, the state courts located in Brevard County, Florida, and the federal courts for the Middle District of Florida have exclusive jurisdiction, and each party consents to that jurisdiction. The prevailing party in any action to enforce these Terms may recover its reasonable attorneys’ fees and costs.

WAIVER OF JURY TRIAL AND CLASS ACTIONS. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE. CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS, NOT AS A CLASS OR REPRESENTATIVE ACTION.

16. General terms

These Terms, including the Privacy Policy and any Order, are the entire agreement between the parties about the Service and supersede prior agreements on that subject. If they conflict, an Order controls over these Terms, and these Terms control over the Privacy Policy. Neither party may assign these Terms without the other’s written consent, except that we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. If any provision is unenforceable, the rest remains in effect. A party’s failure to enforce a provision is not a waiver. There are no third-party beneficiaries. The parties are independent contractors. You represent that you are not subject to U.S. sanctions or located in a country subject to U.S. embargo, and will comply with applicable export laws. Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, other than payment obligations. Notices to you may be sent to your administrators’ email addresses or posted in the Service. Notices to us go to the email address in Section 17.
